These Terms of Use (“Terms”) govern your access to and use of the Campus Picks mobile application, website, and related services, collectively referred to as the “Service”.

These Terms form a legally binding agreement between you and Cloud Latitude, a company organized under the laws of Taiwan and the operator of Campus Picks (“Campus Picks”, “we”, “us”, or “our”).

Please read these Terms carefully. By creating an account, downloading, accessing, or using the Service, you confirm that you have read, understood, and agreed to these Terms and the policies incorporated into them.

If you do not agree to these Terms, you must not access or use the Service.

1. Related Policies and Rules

Your use of the Service may also be governed by the following documents:

The Game Rules, which govern gameplay, entries, prediction cards, settlement, scoring, Honor Points, Stamina, leaderboards, cancellations, and other game mechanics;
The Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal data;
The Account and Data Deletion Policy, which explains the account deletion and recovery process;
Any Promotion or Event Rules that apply to a particular campaign, contest, reward, prize, or promotional event; and
Additional notices or policies displayed within the Service.

These documents are incorporated into these Terms by reference.

If there is an inconsistency:

Promotion or Event Rules control matters specific to that promotion or event;
The Game Rules control gameplay, settlement, scoring, and leaderboard matters;
The Privacy Policy controls the processing of personal data; and
These Terms control all other matters relating to your use of the Service.

Applicable laws and regulations will always prevail where they cannot legally be excluded or modified by agreement.

2. Eligibility

You must be legally capable of entering into these Terms.

If you are under 18 years old, or under the legal age of majority where you live, you may use the Service only after your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using the Service, you represent that you meet these eligibility requirements or have obtained the required permission from your parent or legal guardian.

The Service is not directed to children below the minimum age permitted under applicable law or relevant app-store requirements.

We may request reasonable information to verify eligibility, age, parental permission, account ownership, or compliance with these Terms.

We may restrict or terminate access where we reasonably believe an account does not meet these requirements.

3. Accounts and Account Security

Certain features of the Service require a Campus Picks account.

When creating or maintaining an account, you agree to:

Provide accurate and reasonably current information;
Maintain only one personal account unless we expressly authorize otherwise;
Keep your login credentials secure;
Take reasonable steps to prevent unauthorized access to your account;
Notify us promptly if you believe your account has been compromised; and
Accept responsibility for activities conducted through your account, except to the extent caused by our failure to exercise reasonable care.

You may not sell, lease, transfer, share, or commercially trade your account.

Your Campus Picks account is personal to you. You do not own the account itself, although you retain applicable rights in your personal data and eligible User Content.

We may reject or require you to modify usernames, profile names, images, or other account information that are misleading, infringing, impersonating, abusive, or otherwise contrary to these Terms.

4. Nature of the Service

Campus Picks is a free-to-play collegiate sports prediction and fan-engagement platform.

The Service allows eligible users to make predictions concerning sports statistics, receive virtual Honor Points, participate in rankings, interact through selected social features, and use other features made available through the Service.

Campus Picks does not require users to place monetary bets, deposits, or wagers to participate in its standard gameplay.

Unless expressly stated in separate Promotion or Event Rules:

Users do not stake money or property on prediction outcomes;
Honor Points and Stamina cannot be withdrawn as cash;
Game results do not create a right to a monetary payout; and
The Service is provided for entertainment and fan-engagement purposes.

You must not use the Service, its statistics, rankings, accounts, virtual items, or communication features to organize, promote, operate, facilitate, or participate in illegal gambling, bookmaking, wagering, or similar activities.

We may restrict or terminate accounts reasonably believed to be involved in such activities and may report suspected unlawful conduct where required or permitted by law.

5. Game Rules and Results

Detailed gameplay mechanics are governed by the current Game Rules.

The Game Rules include, among other things:

Entry and submission requirements;
Pick locking and submission deadlines;
Higher or Lower selections;
Shuffle rules;
Hit, Miss, Pending, and Void statuses;
Player participation and Did Not Play treatment;
Postponed, suspended, delayed, or cancelled matches;
Stamina usage and eligible returns;
Honor Points and leaderboard calculations;
Season resets;
School affiliation and school changes; and
Official statistical sources and settlement procedures.

By participating in a Picks Game, you agree to the version of the Game Rules applicable at the time of your participation.

Our server records, submission records, and designated statistical sources will be used to administer and settle Picks Games in accordance with the Game Rules.

We may correct clear technical, clerical, scoring, or display errors. Any correction will be handled reasonably and consistently with the Game Rules.

Where the Game Rules allow Campus Picks to make a determination, we will make that determination reasonably, in good faith, and based on the information available to us at the time.

6. Honor Points, Stamina, and Virtual Items

Honor Points, Stamina, and other in-app balances or features are virtual game elements.

Unless otherwise stated in specific Promotion or Event Rules, they:

Have no cash or monetary value;
Are not bank deposits, electronic money, securities, or stored-value accounts;
Cannot be sold, exchanged, pledged, or transferred outside authorized Service features;
Do not give you ownership of any part of the Service; and
May be adjusted, reset, removed, or discontinued in accordance with the Game Rules and these Terms.

You receive only a limited permission to use virtual items as part of the Service. This permission is personal, revocable, non-transferable, and subject to your continued compliance with these Terms.

We may correct or remove virtual balances affected by:

Fraud;
Unauthorized account access;
Duplication;
Technical or clerical errors;
Exploitation of a bug or vulnerability;
Use of unauthorized software; or
Violations of these Terms or the Game Rules.

Promotional rewards or prizes, if offered, will be governed by separate rules explaining eligibility, availability, verification, restrictions, and redemption requirements.

7. Acceptable Use

You must use the Service lawfully and respectfully.

You must not:

Create or operate multiple accounts to obtain an unfair advantage;
Use bots, scripts, automation, emulators, macros, crawlers, or unauthorized software to interact with the Service;
Scrape, harvest, copy, or systematically extract Service data without written permission;
Manipulate Honor Points, Stamina, rankings, referrals, friend features, advertisements, or game results;
Exploit or intentionally conceal bugs, errors, or vulnerabilities;
Attempt to bypass security controls, access restrictions, or rate limits;
Access another person’s account without authorization;
Impersonate another person, school, team, organization, or Campus Picks representative;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where applicable law expressly permits it;
Upload malware, harmful code, or material intended to interfere with the Service;
Harass, threaten, deceive, defame, or abuse another user;
Post unlawful, infringing, discriminatory, sexually explicit, or seriously offensive content;
Use the Service to conduct fraud, illegal gambling, bookmaking, or other unlawful activities;
Sell, trade, or commercially exploit accounts, Honor Points, Stamina, predictions, or access to Service features; or
Encourage or assist another person in doing any of the above.

Reasonable accessibility tools used by persons with disabilities are not prohibited solely because they involve automated assistance, provided they are not used to automate gameplay or obtain an unfair advantage.

8. User Content and Social Features

The Service may allow you to provide a username, display name, profile image, biography, shared result, comment, message, or other material (“User Content”).

You retain any ownership rights you have in your User Content.

By submitting User Content, you grant Campus Picks a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and distribute that content only as reasonably necessary to:

Operate and provide the Service;
Display your profile or content to the audience you select or reasonably expect;
Maintain, secure, and improve the Service;
Moderate content and enforce these Terms; and
Comply with legal obligations.

This license ends when the relevant User Content is deleted from our active systems, subject to reasonable backup periods, content already shared by other users, and information we must retain for legitimate or legal purposes.

You represent that:

You have the right to submit the User Content;
Its use through the Service will not violate another person’s rights;
It does not contain information you are prohibited from sharing; and
It complies with these Terms and applicable law.

We may review, restrict, remove, or disable access to User Content when we reasonably believe it:

Violates these Terms;
Infringes another person’s rights;
Creates a safety or security risk;
Is unlawful or seriously inappropriate; or
Must be restricted under applicable law.

Do not submit confidential or sensitive information through public or social features.

Other users may save, copy, or redistribute information you choose to share. We cannot control their conduct outside the Service.

9. Schools, Teams, Players, and Third-Party Marks

Campus Picks is an independent fan-engagement platform unless we expressly identify an official partnership.

References to universities, schools, leagues, teams, players, competitions, trademarks, logos, statistics, and other third-party materials may be used for identification, reporting, commentary, gameplay, or informational purposes.

Third-party names, trademarks, logos, photographs, statistics, and other protected materials remain the property of their respective owners or licensors.

10. Intellectual Property

The Service, including its software, source code, interface, visual design, artwork, graphics, animations, sounds, text, game presentation, trademarks, and branding, is owned by or licensed to Campus Picks and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for its intended, non-commercial purposes.

This license does not permit you to:

Reproduce or distribute substantial portions of the Service;
Create unauthorized derivative works;
Remove copyright, trademark, or ownership notices;
Use Campus Picks branding without written permission;
Copy or imitate the visual presentation of the Service for commercial purposes; or
Commercially exploit the Service or its content.

No rights are granted except those expressly stated in these Terms.

If you believe material in the Service infringes your intellectual property rights, contact us using the details in Section 23 and provide sufficient information for us to assess the request.

11. Third-Party Data and Services

The Service may rely on third parties for:

Sports data;
Match schedules;
Player statistics;
Authentication and social sign-in;
Analytics;
Cloud hosting;
Advertising;
Push notifications;
External links; and
Other functionality.

Third-party data may be delayed, incomplete, corrected, unavailable, or inaccurate.

Gameplay settlement will be handled according to the designated sources and procedures stated in the Game Rules.

Third-party services may be governed by their own terms and privacy policies. Your use of those services may create a separate relationship between you and the relevant third-party provider.

Campus Picks does not control every third-party service, advertisement, product, website, or message made available through the Service. The inclusion of third-party content does not necessarily constitute our endorsement.

You are responsible for reviewing applicable third-party terms before interacting with an advertiser or external service.

12. Advertisements

The Service may display advertisements provided by third-party advertising networks.

Some advertisements may allow eligible users to receive Stamina or another in-app benefit after completing a specified activity.

The availability and successful completion of an advertisement may depend on third-party systems. We do not guarantee that a particular advertisement will always be available or completed successfully.

You must not use automation, false interactions, repeated device manipulation, or other unauthorized methods to generate advertising rewards.

Your interaction with an advertiser is between you and the advertiser. Campus Picks is not responsible for external products, services, claims, purchases, or websites offered by advertisers, except where liability cannot legally be excluded.

Our use of advertising technologies and related personal data is explained in the Privacy Policy.

13. Service Availability and Changes

We aim to keep the Service reasonably available, but we do not guarantee continuous, uninterrupted, error-free, or permanently available access.

The Service may be affected by:

Maintenance and software updates;
Internet or telecommunications failures;
Device compatibility;
Cloud or third-party provider outages;
Sporting-event changes;
Data-feed interruptions;
Security incidents;
Events beyond our reasonable control; or
Changes required by law, platform policy, or business operations.

We may add, modify, suspend, or discontinue features where reasonably necessary.

When a change materially affects users, we will provide notice where reasonably practicable.

Temporary unavailability does not automatically entitle a user to Honor Points, Stamina, ranking adjustments, compensation, or other credits.

Game-related remedies, if any, will be determined under the Game Rules.

14. Account Suspension and Termination

We may investigate suspected violations of these Terms or the Game Rules.

Depending on the nature, seriousness, and frequency of the conduct, we may:

Issue a warning;
Remove prohibited content;
Correct or remove improperly obtained Honor Points or Stamina;
Restrict particular features;
Temporarily suspend an account;
Remove an account from a leaderboard;
Permanently terminate an account; or
Take other reasonable protective measures.

We may act immediately where we reasonably believe this is necessary to address:

Fraud;
Illegal gambling or bookmaking;
Security threats;
Unauthorized access;
Harm to another user;
Serious interference with the Service;
Repeated or deliberate violations; or
Legal or regulatory obligations.

Where reasonably practicable, we may notify you of the reason for an enforcement action.

We may withhold specific information where disclosure could compromise security, fraud prevention, another person’s rights, or an investigation.

You may contact us if you believe an enforcement action resulted from an error. We do not guarantee reversal, but we will review reasonably supported requests in good faith.

Termination does not affect provisions that should reasonably continue after termination, including intellectual property, disclaimers, liability provisions, dispute provisions, and obligations arising before termination.

15. Deleting Your Account

You may request deletion of your account through the Campus Picks app or by following the instructions on our Account and Data Deletion page.

After you confirm deletion:

Your account will be disabled and scheduled for deletion;
A 30-day recovery period will apply;
Signing in during the recovery period may allow you to restore the account; and
After the recovery period, the account will be permanently anonymized in accordance with our deletion process.

Once permanent anonymization has been completed, it cannot be reversed.

Historical picks may be retained for legitimate historical and statistical record purposes but will be detached from your identity and displayed as belonging to a “Deleted User”.

Honor Points associated with the deleted account, including applicable contributions to individual or school rankings, will be removed or reset in accordance with the Account and Data Deletion Policy.

16. Privacy and Personal Data

Our collection and processing of personal data are governed by the Campus Picks Privacy Policy and applicable data protection laws.

Depending on applicable law, you may have rights relating to:

Information about how your personal data is processed;
Access to your personal data;
Correction of inaccurate information;
Objection to certain processing;
Erasure or blocking;
Data portability;
Withdrawal of consent where processing is based on consent; and
Filing a complaint with an appropriate data protection authority.

Some requests may be limited where information remains reasonably necessary for:

Compliance with a legal obligation;
Security and fraud prevention;
Investigation of misuse;
Dispute resolution;
Legitimate recordkeeping purposes; or
The establishment, exercise, or defense of legal claims.

17. Electronic Communications

By using the Service, you agree that we may provide operational communications electronically through:

In-app notices;
Push notifications;
Email;
Notices displayed on our website; or
Messages associated with your account.

Operational communications may include:

Security alerts;
Account messages;
Updates to these Terms or related policies;
Maintenance notices;
Gameplay information; and
Other Service-related notices.

Marketing communications will be handled according to applicable law and the Privacy Policy.

Where required, you may withdraw consent or unsubscribe from marketing communications without losing access to essential operational notices.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

Campus Picks does not warrant that:

The Service will always be available, secure, uninterrupted, or error-free;
Every sports statistic, schedule, notification, or third-party data feed will be complete or delivered without delay;
Defects will always be corrected immediately;
The Service will operate on every device or network;
Predictions will produce any particular result; or
Participation will result in a particular ranking, reward, recognition, or benefit.

Sports information and prediction features are provided for entertainment and fan-engagement purposes.

They should not be treated as financial, betting, professional, academic, or other specialized advice.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Campus Picks, Cloud Latitude, and their directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from or connected with the Service.

This includes, where legally permitted:

Loss of data;
Loss of anticipated rewards;
Loss of ranking position;
Loss of reputation;
Loss caused by unauthorized account access not resulting from our failure to exercise reasonable care;
Device, network, or third-party service failures;
Reliance on third-party advertisements or external websites; and
Inability to submit an entry because of circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence where applicable, or violations of mandatory consumer or data protection rights.

20. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Cloud Latitude, Campus Picks, and their officers, employees, contractors, and affiliates harmless from third-party claims, losses, liabilities, and reasonable expenses arising directly from:

Your unlawful use of the Service;
Your material violation of these Terms;
Your User Content;
Your infringement of another person’s rights;
Fraudulent conduct through your account; or
Intentionally harmful conduct through the Service.

This obligation will not apply to the extent a claim was caused by the unlawful conduct, gross negligence, or willful misconduct of Campus Picks or Cloud Latitude.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of Taiwan, without regard to its conflict-of-laws principles.

Nothing in these Terms limits any mandatory consumer, privacy, or other statutory rights that apply to you under the laws of your place of residence.

Before initiating formal legal proceedings, you and Campus Picks agree to make a reasonable good-faith effort to resolve the dispute informally.

A party initiating a dispute should send written notice describing:

The nature of the dispute;
The relevant account or activity, if applicable;
The requested resolution; and
Any information reasonably necessary to assess the matter.

The parties will have at least 30 days after receiving the notice to attempt to resolve the dispute.

If the dispute cannot be resolved informally, it will be submitted to a court of competent jurisdiction in Taiwan, unless applicable law permits or requires the dispute to be brought in another jurisdiction.

Nothing in this section prevents either party from:

Seeking urgent injunctive relief;
Reporting suspected unlawful activity;
Exercising data protection rights; or
Filing a complaint with an appropriate government authority or regulator.

22. Changes to These Terms

We may update these Terms to reflect:

Changes to the Service;
New features or functionality;
Security or operational requirements;
Changes in law or app-store requirements; or
Clarifications to existing provisions.

The updated Terms will state a new “Last Updated” date.

Where a change materially affects your rights or obligations, we will provide reasonable notice through the Service, email, or another appropriate method, unless an immediate change is required for legal, safety, or security reasons.

Changes will generally apply from their stated effective date.

If you do not agree to updated Terms, you must stop using the Service and may request deletion of your account.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

24. General Provisions

24.1 Entire Agreement

These Terms and the policies incorporated into them constitute the entire agreement between you and Campus Picks regarding the Service.

24.2 Severability

If any provision is held invalid or unenforceable, that provision will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

24.3 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

24.4 Assignment

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or transfer of the Service, provided the transfer does not reduce any mandatory rights available to you under applicable law.

24.5 Force Majeure

Neither party will be responsible for a failure or delay caused by circumstances beyond its reasonable control, except for obligations that cannot legally be excused.

24.6 Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

24.7 Language

These Terms may be translated into other languages.

If there is a material inconsistency between a translation and the English version, the English version will control to the extent permitted by applicable law, unless the translated version expressly states otherwise.
